Aurea closes Private Placement
Vancouver, BC.: Aurea Mining Inc. ("Aurea" or "the Company") is pleased to announce that it has closed a non-brokered private placement consisting of a total of 4,977,718 units at a price of $0.26, raising a gross amount of $1,294,207 for the Company, and a net of $1,271,587 after deducting $22,620 paid in commissions in connection with the private placement.
Each unit entitles the holder to one common share, and one half share purchase warrant; each full warrant entitles its holder to buy one common share at an exercise price of $0.40 per share until the earlier of (i) 18 months from the date of issuance, or (ii) one year from the date on which the shares are listed for trading on the TSX Venture Exchange (the "TSX-V"). Aurea's common shares are not currently listed on the TSX-V.
Of the total amount of units sold, 3,600,418 were issued on February 10, 2005, and have a hold period expiring on June 10, 2004. The remaining 1,377,300 units were issued on March 23, 2005, and have a hold period expiring on July 23, 2005. Insiders of the Company subscribed 5,000 of the units.
